Terms of Service

1. Acceptance
By checking the acceptance box at sign-up (or, for existing accounts, when prompted), and by using the platform, you agree to these Terms of Service (“Terms”) and our Privacy Policy. These Terms form a binding agreement between you and Offkai. If you don’t agree, don’t use the service.
2. What Offkai is
Offkai is a coordination tool for paid offline social gatherings. Hosts create events; attendees RSVP and pay either externally (Venmo, Zelle, PayPal, Wise, cash — with proof-of-payment screenshots) or via integrated card payment (Stripe Connect). For external payment methods Offkai does not process payments, hold funds, or facilitate transactions. For Stripe card payments Offkai facilitates the transaction via Stripe Connect; see §4 below for details.
3. Eligibility and accounts
- You must be at least 18 years old (or the age of majority where you live, if higher) to create an account. By accepting these Terms you represent and warrant that you meet this requirement.
- You’re responsible for keeping your sign-in credentials secure.
- You agree to provide accurate information (real preferred name, valid email) so hosts can identify you at events.
- One account per person. Don’t impersonate others.
4. Fees and payment terms
4.1 External payment methods
For events that accept Venmo, Zelle, PayPal, Wise, cash, or other handle-based methods, all payments happen outside Offkai. Offkai is not a payment processor for these methods, does not hold funds in escrow, does not collect fees on transactions, and does not mediate disputes about whether a payment was made or received. Refunds, cancellations, and pricing follow the host’s policy. If you have a payment dispute, contact the host directly or follow the third-party service’s dispute process.
4.2 Card payments via Stripe
For events that accept Card (Stripe), Offkai facilitates payment through Stripe Connect (Direct Charges model). The host is the merchant of record; funds settle directly into the host’s connected Stripe account. Offkai is not a party to the transaction beyond facilitating it through Stripe’s API.
4.3 Offkai platform fee
Offkai charges a flat platform fee on each paid Stripe ticket sold:
- Paid Stripe tickets: $0.35 per ticket
- Free tickets ($0.00): no fee
- External payment methods (Venmo, Zelle, etc.): no platform fee
No monthly fees, setup fees, or recurring charges. You pay only when paid Stripe tickets are sold. The platform fee is deducted via Stripe’s application_fee mechanism at transaction time; it never flows through Offkai’s bank account.
4.4 Stripe processing fees
Stripe charges separate processing fees on each card transaction. Stripe’s fees are independent of Offkai’s platform fee and are charged by Stripe, not Offkai. Offkai has no control over Stripe’s pricing. Current pricing: stripe.com/pricing.
4.5 Fee absorption or pass-through
Hosts choose one of two fee models per event:
- Pass-through (default): fees ride on top of the ticket price; attendee sees an itemized breakdown at Stripe Checkout (ticket + service fee + processing fee).
- Absorb: ticket price is the flat total; host absorbs fees out of payout.
Hosts may also configure a processing-fee buffer (+1% / +2%) to flatten payout variance across card types (international cards carry higher Stripe rates than US cards).
4.6 Non-refundable fees
Offkai’s platform fee and Stripe’s processing fees are non-refundable once a ticket has been sold, regardless of whether the host or attendee subsequently issues a refund, the event is cancelled, or a chargeback occurs — except where required by applicable law. The platform fee covers the service rendered up to the point of sale; processing fees are charged by Stripe at the moment of payment and aren’t reversed.
4.7 Refunds (Stripe)
For Stripe payments, refunds return the ticket face value only. Industry-standard practice (matches Eventbrite, Ticketmaster, StubHub). Refunds are issued automatically when an attendee cancels within the host’s configured cancellation window (Flexible: 7 days before event; Standard: 48 hours before event), or manually by the host at any time via the event Payments page.
4.8 Taxes
All fees are exclusive of applicable taxes. Hosts are solely responsiblefor determining, collecting, and remitting any sales tax, VAT, GST, or other taxes applicable to their ticket sales. Offkai does not calculate, collect, or remit taxes on behalf of hosts.
4.9 Fee changes
Offkai reserves the right to modify its fee structure upon thirty (30) days’ written notice. Fee changes will not apply retroactively to tickets already sold prior to the effective date.
4.10 Ticket tiers, discounts, and promo codes
Hosts may offer multiple priced ticket tiers and issue promo / access codes that reveal hidden tiers or add-ons and/or apply a discount (a percentage or a fixed amount) to an order. Tier prices, discount values, and code usage limits are set by the host; discounts reduce the ticket price accordingly. The Offkai platform fee still applies per paid Stripe ticket sold (after any discount). Hosts are responsible for honoring the tiers, discounts, and code limits they configure. Hosts may also password-protect an event so it is visible only to attendees who enter the host’s password.
4.11 Cancelled or postponed events
If a host cancels an event, attendees are entitled to a refund of the ticket face value they paid, except under a lawful, clearly disclosed no-refund policy and to the extent permitted by applicable law. Where the law of the attendee’s jurisdiction requires a refund on cancellation, that requirement controls regardless of the host’s stated policy. For Stripe card payments Offkai facilitates the refund through Stripe; for external payment methods the host must refund the attendee directly. If an event is postponed or materially rescheduled, attendees may keep their ticket for the new date or request a refund of face value where required by law. Offkai’s platform fee and Stripe’s processing fees remain non-refundable as described in 4.6, except where applicable law requires otherwise.
4.12 Fundraisers — Stripe Connect required (KYC/AML)
Hosts who run fundraiser events must enable Stripe Connect as a payment option on the fundraiser and maintain a connected, identity-verified Stripe account. Stripe does not have to be the only payment method — hosts may also offer other methods (such as Venmo, Zelle, or cash) alongside it — but Stripe must be enabled. This requirement supports Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) obligations by identity-verifying the organizer, provides fraud-prevention and chargeback traceability, and is what enables anonymous donations. Enabling Stripe is therefore required to run a fundraiser in adherence with these Terms. Offkai may decline, suspend, or remove a fundraiser whose organizer is not Stripe-verified.
5. Hosts' responsibilities
If you host an event, you agree:
- Your event is lawful at the place and time you advertise it.
- You handle any required permits, insurance, taxes, capacity rules, or age restrictions.
- You’ll honor confirmed RSVPs in good faith and communicate cancellations promptly.
- You’ll handle attendee payment information (handles you display, screenshots and transaction/reference IDs you receive) responsibly and not share it.
- You’ll not use the platform to advertise events that violate applicable laws or these Terms.
- If you opt your event into the public Discover catalog at /discover, you confirm the event is appropriate for unauthenticated visitors to see (title, cover image, categories) and consent to its inclusion in the catalog. You can revoke this by toggling Discover off on the event’s edit page at any time.
Offkai is not a party to your event and is not liable for what happens at it.
6. Attendee conduct
You agree not to:
- RSVP under a false identity or with intent to no-show.
- Submit fake payment screenshots, false transaction / reference IDs, or otherwise misrepresent payment.
- Harass other attendees or hosts.
- Use the platform to facilitate illegal activity.
7. Content you upload
You retain ownership of content you upload (event cover images, payment screenshots, notes). By uploading, you grant Offkai a limited, non-exclusive license to store and display that content solely for the purpose of operating the service (e.g. showing an event cover image to other attendees, showing your screenshot to the event host).
You’re responsible for what you upload. Don’t upload anything you don’t have rights to share, and don’t upload anything that violates the law or these Terms.
8. Service availability
The service is provided “as is” and “as available.” We don’t guarantee uptime, that features will work without bugs, or that data is preserved against loss. Make backups of anything important.
9. Disclaimers
To the maximum extent permitted by law, Offkai disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee that events will occur as described, that hosts will deliver what they promise, or that other users will behave well.
10. Limitation of liability
To the maximum extent permitted by law, Offkai is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, lost payments, or missed events. Our total cumulative liability for any claim arising from your use of the service is limited to USD $50 or the amount you paid Offkai in the prior 12 months (currently $0 — Offkai is free), whichever is greater.
11. Termination
You can stop using Offkai at any time. Email us to delete your account and data.
We can suspend or terminate accounts that violate these Terms — including fake screenshots, impersonation, harassment, or use of the service for illegal events — without notice.
Hosts with Stripe Connect: termination of your Offkai account disconnects your Stripe account from the Offkai platform but does not affect funds already settled to your Stripe account, nor your direct relationship with Stripe. Pending refunds, disputed transactions, chargebacks, and any outstanding tax or compliance obligations on past events remain your responsibility (and Stripe’s under your Stripe agreement), not Offkai’s. We may continue to process Stripe webhook events related to past transactions on your account (e.g. disputes, refunds) for accounting purposes after termination.
12. Changes
We may update these Terms as the service evolves. Material changes will be announced via the app or email. The “Last updated” date at the top reflects the latest revision. Continued use after a change means you accept the new Terms.
13. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules. You and Offkai agree to submit to the exclusive jurisdiction of the state and federal courts located in California to resolve any dispute arising out of or relating to these Terms or the service, except where applicable law grants you the right to bring proceedings in your country of residence.
14. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Offkai and its operator, affiliates, and personnel from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your events, content, or conduct; (b) your breach of these Terms or the Privacy Policy; (c) your violation of any law or the rights of a third party; or (d), if you are a host, your handling of payments, refunds, chargebacks, taxes, and attendee data. This does not apply to the extent a claim arises from Offkai’s own gross negligence or willful misconduct.
15. Severability and waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will stay in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and Offkai regarding the service.
16. Dispute resolution; arbitration; class-action waiver
Informal resolution first. Before bringing a claim, you agree to first try to resolve it informally by emailing karl@offkai.app with a description of the dispute. We’ll try to resolve it within 30 days.
Binding arbitration. If we can’t resolve it informally, you and Offkai agree that any dispute arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its consumer arbitration rules, rather than in court — except that either party may instead bring an individual claim in small-claims court.
Class-action waiver. You and Offkai agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims. You and Offkai waive any right to a jury trial.
30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing karl@offkai.app from your account email with a statement that you opt out. Opting out doesn’t affect any other part of these Terms.
This section applies only to the extent permitted by applicable law. If you reside somewhere that prohibits pre-dispute arbitration or class-action waivers for consumers, those parts don’t apply to you and disputes proceed under Section 13 instead.
17. Acceptable use and prohibited events
You may not use Offkai — and hosts may not create or promote events — for:
- Anything illegal, or that you aren’t licensed or permitted to run where it takes place.
- Sale or distribution of regulated or restricted goods without authorization — alcohol, tobacco or vaping products, cannabis, firearms or weapons, fireworks, or prescription / controlled substances.
- Gambling, lotteries, raffles, or games of chance where prohibited or unlicensed.
- Adult or sexual services, or content harmful to minors.
- Hate, harassment, threats, violence, or the promotion of any of these.
- Fraud, scams, pyramid or multi-level-marketing schemes, money laundering, or deceptive fundraising.
- Infringing someone else’s intellectual property, privacy, or other rights.
- Circumventing fees, scraping, automated abuse, or distributing malware.
We may remove content, cancel events, and suspend or terminate accounts that violate this section, with or without notice. You’re responsible for any taxes, licenses, and permits your event requires.
18. Accessibility
We want Offkai to be usable by everyone and aim to follow the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA as a practical target. We’re improving over time and aren’t perfect. If you hit a barrier or need an accommodation to use the service, email karl@offkai.app and we’ll work with you to provide the information or functionality you need.
19. Electronic communications
By using Offkai you consent to receive communications from us electronically — including these Terms, the Privacy Policy, notices, tickets, receipts, and account messages — by email or through the app. Electronic agreements, notices, and records satisfy any legal requirement that such communications be in writing. You can withdraw this consent by closing your account, though some transactional messages are required to use the service.
20. Force majeure
Offkai isn’t liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, or outages of internet, hosting, payment, or other third-party providers.
